www.krip-hk.com and its sub-domains (the “Websites”) are held and provided by KRIP Limited. In the Terms & Conditions stated herein (“Terms & Conditions”), whenever we use “krip” and “the Company”, it refers to KRIP Limited, and “user” and “users” refers to anyone who uses the Websites.

1. General
   1. By using the Websites, users acknowledge and agree that Terms & Conditions and Data Privacy Policy are binding upon them and that the users agree to comply with them. If a user does not accept either or both of the Terms & Conditions and/or Data Privacy Policy, he/she is not allowed to access and use the Websites and should immediately stop such access and/or use. If a user violates any of the Terms & Conditions, his/her right to access and use the Websites shall be terminated immediately.
   2. The Company reserves the right, at its own discretion, to update the Terms & Conditions and the Data Privacy Policy from time to time without prior notice, and shall become effective immediately when posted on their respective pages on the Websites. Users are advised to visit the Terms & Conditions and Data Privacy Policy pages periodically to review the latest Terms & Conditions and Data Privacy Policy for which they are bound by when accessing the Websites. A user’s access to the Websites will be terminated upon his/her notice to the Company that any changes are unacceptable, otherwise the continued use shall constitute the acceptance of all changes and the said changes shall be binding upon the user. Users further acknowledge and agree that they shall comply with all applicable laws, statutes, ordinances and regulations, whether or not having the force of law, regarding their use of the Websites. Users recognize the global nature of the Internet and understand that the applicable laws, statutes, ordinances and/or regulations may be of a jurisdiction other than their own and agree that compliance with the same is their absolute responsibility.
2. Service
   1. krip offers a free and independent online service that allows users to discover, explore and compare rewards, discounts, offers and promotions available through credit cards issued by authorized financial institutions in Hong Kong. The Company is not a party to any actual transactions between users and any authorized financial institutions, advertisers, merchants, restaurants and/or stores.
   2. The Company has no affiliation with nor is the Company an agent of any authorized financial institutions. The purpose of creating the Websites is to promote the extensive rewards, discounts, offers and promotions available through credit cards issued by authorized financial institutions in Hong Kong on a single independent platform to allow users to discover, explore and compare rewards, discounts, offers and promotions more effectively and efficiently. It is not the Company’s intention, either directly or indirectly, intentionally or unintentionally, to misrepresent any third-party information, data and/or knowledge. On the contrary, it is the Company’s intention to promote wider usage of credit cards in Hong Kong through the Websites by highlighting the extensive scale and quality of rewards, discounts, offers and promotions available to credit cardholders. Although the Company has taken all reasonable steps within its capacity as an unaffiliated independent service provider to ensure that the rewards, discounts, offers and promotions are as accurate, valid and complete as possible, to the extent permitted by law, the Company makes no representations, warranties or guarantees, whether expressed or implied, that the content on the Websites is accurate, valid and/or complete and/or up to date.
   3. The Company takes no responsibility whatsoever for the contents on the Websites or any contents sent through the Websites, or for any contents lost and does not make any representations or warranties regarding the contents or accuracy of any materials therein, as the Company does not have control over and does not guarantee the accuracy, validity and completeness of any information, data and knowledge on the Websites. The information provided on the Websites is based on third-party resources and the Company would not be held accountable, either directly or indirectly, if any or part of the information, data and knowledge on the Websites, including but not limited to that from a third-party, is inaccurate, expired or invalid, or if there are any errors, inconsistencies or omissions within such information, data and knowledge, such that the information, data and knowledge on the Websites are inaccurate, expired and/or invalid. Where the Websites contain links to other third-party sites and resources, these links are provided for the users’ information only. Such links should not be interpreted as approval by the Company of those linked websites or information the users may obtain from them.
   4. Users agree and consent that the Company may, subject to Data Privacy Policy, use their personal data and/or other information provided to the Websites for purposes relating to the provision of the Websites’ services.
   5. The contents on the Websites are provided for general information for the users only. Nothing on the Websites ought to be thought of, or relied upon, as a financial advice or a recommendation of any of the credit card products. Information on the Websites may help a user choose certain credit cards that best meet his/her needs. However, it is a user’s sole and absolute responsibility to conduct research, to seek independent and professional advice, before taking, or refraining from, any action on the basis of the contents on the Websites, and to ensure the suitability of the credit card that is of interest to him/her. In the end, it is a user’s sole and absolute decision to apply for a credit card from an authorized financial institution in Hong Kong.
   6. Nothing on the Websites is, or shall be deemed to represent, a proposal by the Company or any third-party to sell to a user any product or service or to enter into any contract with the user in respect to any product or service.
   7. The Company reserves the right to feature, amend, delete, edit, remove or modify any data, content, material or information displayed on the Websites at any time.
3. User Registration
   1. Users may only browse the Websites as a registered member (“Member”) by registering a membership account online. Users warrant that personal particulars which they provide upon Member account registration are true, accurate, current, complete and not misleading in all aspects, and further undertake to promptly update the Company where there are any subsequent changes in such particulars. Any failure to do so may affect the ability of users to receive important notices and/or marketing materials sent by the Company.
   2. Users must not register an email and/or select a password that violate any person’s rights or one that in the Company’s opinion is offensive, improper or inappropriate. If a user does so, the Company reserves the right to terminate the user’s account. In any event, the Company shall not be liable in any way for any improper use of registration email and/or password by any user.
   3. Users shall be solely and entirely responsible for maintaining the confidentiality of the login information and password and any other information in respect of their accounts and responsible for all activities that occur in connection with the account. In no event shall the Company be responsible or liable for any loss or damage in relation to the unauthorized use of account by any person. Users agree to immediately notify the Company of any unauthorized use of their accounts or any other breaches of security with respect to their use of the Websites.
   4. The information that users provide to the Company on the registration form to become a Member will be dealt with in accordance with the Company’s Data Privacy Policy, and the Company strongly recommends users to read the Data Privacy Policy prior to registration as the terms stated therein are binding upon all users.
4. Prohibited Uses
   1. All users of the Websites agree not to use any of the Websites for any of the purposes expressed prohibited below:
      1. Users are prohibited from interfering with, disrupting or violating, or attempting to interfere with, disrupt or violate the security, servers or network of the Websites (including without limitation, accessing data not intended for them, logging into a server or account which they are not authorized to access, attempting to probe, scan or test the vulnerability of a system or network, attempting to breach security or authentication measures without proper authorization, attempting to interfere with service to any user, host or network or sending unsolicited emails). Users are further prohibited from altering or reverse engineering any part of the Websites for any kind of personal and/or commercial gains, and to produce, check, confirm, update, modify or amend a user’s own or another user’s databases, records or directories. Violation of system or network security by users may result in civil and/or criminal liabilities;
      2. Users shall not use the Websites in conjunction with any automatic computer code, process, program, robot, net crawler, spider, data processing, trawling or alternative screen scraping computer code, process, program or system;
      3. Users shall not use the Websites in any manner that will infringe the copyright, trademark, trade secrets or other intellectual property rights of others or violate the privacy or publicity or other personal rights of others in any manner that is illegal, harmful, defamatory, libelous, obscene, discriminatory, harassing, threatening, abusive, hateful or is otherwise offensive or objectionable for commercial purposes other than pursuant to these Terms & Conditions or terms & conditions of any agreements entered into between the Company and users. In particular, users shall not print, download, duplicate or otherwise copy or use any personally identifiable information about other users;
      4. Users shall not use the platform if they do not have legal capacity to form legally binding contracts or they are prohibited by law from accessing or using the Websites;
      5. Users shall not access or use the personal data of any other users without his/her express permission;
      6. Users shall not assign or transfer any rights or obligations under these Terms & Conditions to any third person without the Company’s prior written consent thereto;
      7. No Member shall allow others to use his/her email and password to access or use the Websites.
5. Acceptable Uses
   1. Users are solely permissible to access and use the Websites for personal or non-commercial functions, which means the Websites shall only be accessed and used directly by a private individual or by a legal entity for an individual and on his/her behalf. Any other kind of access to and use of the Websites beyond those aforementioned is strictly prohibited unless express consent is provided in writing by the Company.
6. Intellectual Properties
   1. All contents of the Websites, including without limitation the text, images, information, layout, database, graphics, photos, pictures, software and HTML are the intellectual properties of the Company which are protected by applicable copyright and trademark laws and may not be downloaded, copied, modified, reproduced, printed or distributed in any way except that users may download a copy of such materials for their own legal and non-commercial uses or for such purposes permitted under the terms & conditions of any agreements entered into between the Company and users. Any use of any such content other than those permitted under the Terms & Conditions and the terms & conditions of any agreements entered into between the Company and users is strictly prohibited and the Company reserves all its rights in this respect. Users acknowledge that they will be solely responsible for any adverse consequences arising from their breach of copyright laws and/or other intellectual property laws.
   2. Users can print, copy, transfer or store extracts of content, material or information displayed on the Websites for their own personal use subject to following conditions:
      1. It cannot be used for any business or commercial functions without written permission by the Company. Such right cannot be sold out or transferred to any third-party;
      2. Users should not modify or change any such data, content, material or information. It shall not be excerpted, reproduced, published, used, reformatted and/or displayed on another website without written permission by the Company.
   3. Except as mentioned elsewhere in these Terms & Conditions, none of the content, material or information displayed and to be found on the Websites can be used, copied, modified, published, transmitted, sold, excerpted, reverse designed, reproduced, reformatted or distributed by users without written permission by the Company.
   4. Users shall retain possession of any feedback, content or material shared with the Company. Users shall unconditionally grant the Company a perpetual, irrevocable, transferrable, worldwide, royalty free and unlimited license to use, alter, store, share, sell, publish and transmit such feedback, content or material in any manner and for any purpose.
7. Responsibility
   1. The Company may not monitor the Websites at all times but reserves the right to do so. The Company does not warrant that any content or web page will be viewed by any specific number of users or that it will be viewed by any specific user. The Company shall not in any way be considered an agent of any user with respect to any use of the Websites and shall not be responsible in any way for any direct or indirect damage or loss that may arise or result from the use of the Websites, for whatever reason made. Whilst endeavoring to provide quality service to all users, the Company does not warrant that the Websites will operate error-free or that the Websites and their servers are free of viruses or other harmful mechanisms. If use of the Websites or their contents result in the need for servicing or replacing equipment or data by any user, the Company shall not be responsible for those costs. The Websites and their contents are provided on an “as is” basis without any warranties of any kind. To the fullest extent permitted by law, the Company disclaims any and all express and implied warranties, including, without prejudice to the foregoing, any in respect of merchantability, non-infringement of third-party rights, fitness for particular purpose, or about the accuracy, reliability, completeness or timeliness of the contents, services, text, graphics and hyperlinks on the Websites.
8. Indemnity
   1. All users agree to indemnify, and hold harmless the Company, its officers, directors, employees, agents, partners, representatives, shareholders, servants, attorneys, predecessors, successors and assigns from and against any claims, actions, demands, liabilities, losses, damages, costs and expenses (including legal fees and litigation expenses on a fully indemnified basis) arising from or resulting from their use of the Websites, their use of any services provided by the Company through the Websites, or their breach of any terms of these Terms & Conditions or any terms & conditions of any agreements entered into between the Company and users or any breach or non-observance of any of these terms and conditions by any other person or entity where such person or entity was able to access and/or use the Websites by using the users’ email and login password.
9. Termination
   1. The Company shall have the right to delete or deactivate any account, or block the email or IP address of any user, or terminate the access of users to the Websites immediately without notice for any reason, including but not limited to the reason that the user breached any law or if in the Company’s reasonable opinion the users have failed to comply with any of the provisions of these Terms & Conditions or any terms & conditions of any agreements entered into between the Company and users. The Company reserves the right at any time to take such action as it considers appropriate, desirable or necessary including, but not limited to, taking legal actions against any such user.
10. Disclaimer
    1. The Company shall not be liable for any default of obligations or duties directly or indirectly caused by or resulted from any causes beyond the Company’s reasonable control, including but not limited to Internet failure or any system default. The Company does not guarantee uninterrupted, continuous and/or secure access to the Websites. Part of or the entirety of the Websites may be unexpectedly unavailable for whatever duration and for whatsoever reasons beyond the Company’s control for which the Company cannot and shall not be held responsible. The Company reserves the right to take any part or the entirety of the Websites offline with or without notice for reasons including but not limited to system maintenance or upgrade.
    2. In any event, the Company, its officers, directors, employees, agents, partners, representatives, shareholders, servants, attorneys, predecessors, successors and assigns shall not be liable for any losses, claims or damages (including but not limited to direct, indirect, incidental, special, punitive or consequential damages, loss of business or profit) directly or indirectly suffered by any user whatsoever and howsoever arising or resulting from or connected with:
       1. Any user’s use or inability to use the Websites, their contents or the services, including negligence and disputes between any parties;
       2. Any user’s use of any services or products provided by any authorized financial institutions, advertisers, merchants, restaurants, and/or stores;
       3. Any performance, non-performance, conduct or policies of any authorized financial institutions, advertisers, merchants, restaurants, and/or stores.
    3. The Company is not an agent of any of the authorized financial institutions, advertisers, merchants, restaurants, and/or stores.
11. Exclusion of Liability
    1. The Company shall not be accountable either directly or indirectly if any information, data and knowledge, including but not limited to that from a third-party, on the Websites is inaccurate, or if there are any errors or omissions within any such information, data and knowledge. Users must bear in mind that such information, data and knowledge could be inaccurate, incomplete and/or out-of-date. The Company will not be held liable either directly or indirectly for any information, data and knowledge on the Websites, whether it has been provided by third-parties. Users agree that the Company is not in any way providing any warranty and/or representing that the Websites or any information on the Websites or any third-party websites is free from viruses or anything which can have a harmful impact on any technology.
    2. The Company is not accountable or to be blamed either directly or indirectly for any loss or harm users will suffer or incur as a result of any product or service users received and/or purchased in a result of or on the basis of using the Websites or for any acts, omissions, errors or defaults of any third-parties in reference to that product or service. Please bear in mind that the data and descriptions of products and services on the Websites might not represent the entire descriptions of all the options and terms & conditions of these products and services. Users need to make sure to carefully look at all options and the terms & conditions of any product or service before purchasing it.
    3. The Company takes no responsibility for the services or products provided by any of the authorized financial institutions, advertisers, merchants, restaurants, and/or stores.
12. Security
    1. The Company will use its reasonable endeavors to ensure that its officers, directors, employees, agents and/or contractors will exercise their prudence and due diligence in handling the personal data submitted by users, and the access to and processing of the personal data by such persons is on a “need-to-know” and “need-to-use” basis. The Company will use its reasonable endeavors to protect the personal data against any unauthorized or accidental access, processing or erasure of the personal data.
13. Enforceability
    1. The provisions of these Terms & Conditions shall be enforceable independently of each other and the validity of each provision shall not be affected if any of the others is invalid. In the event any provision of these Terms & Conditions is determined to be illegal, invalid or unenforceable, the validity and enforceability of the remaining provisions of these Terms & Conditions shall not be affected and, in lieu of such illegal, invalid or unenforceable provision, there shall be added as part of the Terms & Conditions one or more provisions as similar in terms as may be legal, valid and enforceable under the applicable law(s).
14. Governing Law
    1. These Terms & Conditions and any dispute or matter arising from or incidental to the use of the Websites shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
15. Third-Parties Rights
    1. Except as expressly set forth herein, no person other than the parties to these Terms & Conditions shall have any right to enforce any term hereof.
16. Inconsistency
    1. Should there be any inconsistency between the English version and any version in other languages, the English version shall always prevail.
